1. Acceptance of Terms

By accessing or using the website, services, or subscribing to communications, users agree to be bound by these Terms and the Privacy Policy.

2. Age Restriction

Users must be at least 18 years old to use services or opt into SMS / text messages. By using services or providing a mobile number, users represent they are 18 or older.

3. Services

3.1 Services Provided

LINX offers business consulting to small and medium-sized businesses, including:

  • Strategy and planning (assessments, strategic planning, goal setting, execution roadmaps)
  • Sales, marketing, and growth (go-to-market guidance, pipeline management, sales coaching)
  • Operations and execution (process redesign, workflow optimization, project management)
  • Finance and performance (budgeting, cash flow planning, KPI design, financial analysis)
  • Leadership and culture (coaching, team development, hiring support, performance management)
  • Systems and technology (CRM configuration, automation, tool selection, training)
  • Documentation and training (SOPs, playbooks, internal training, workshops)
  • Client support resources (administrative, marketing, bookkeeping, technical support)
  • Special projects (research, competitive analysis, due diligence support)

3.2 Professional Advice Disclaimer

LINX does not provide legal advice or licensed tax services unless expressly stated in a Service Agreement. Users must consult licensed professionals for legal or tax matters.

3.3 Scope and Deliverables

Specific scope, deliverables, fees, and timeline are defined in Service Agreements or Statements of Work. Work not expressly included may require additional fees.

3.4 Third-Party Tools and Providers

Third-party platforms operate under their own terms and policies. LINX is not responsible for performance, outages, pricing changes, security incidents, or service results.

3.4.1 GoHighLevel / LINX Command

LINX is a white-label partner of GoHighLevel and receives compensation or other things of value in connection with customer purchases through LINX, including referral fees, revenue share, or commissions. Recommendations are made in good faith based on business suitability.

3.4.2 Sphere Rocket

LINX has a material connection to Sphere Rocket and may receive compensation or other things of value related to client referrals. Services are provided and controlled by Sphere Rocket.

4. SMS / Text Messaging Terms and Conditions

4.1 Description of SMS Use Cases

SMS messages may include:

  • Appointment reminders and confirmations
  • Service updates
  • Onboarding and offboarding instructions
  • Document and data requests
  • Marketing and promotional messages
  • Sales follow-ups
  • Event and webinar invitations

4.2 Consent

By providing a mobile number and checking consent checkboxes, users expressly consent to receive recurring automated SMS messages. SMS consent is not required to purchase services.

4.3 Message Frequency

Users may receive up to 4 messages per month, varying based on interactions and subscriptions.

4.4 Message and Data Rates Disclosure

Message and data rates may apply. LINX does not charge for SMS, but carriers may charge for each message sent or received. Users should contact their wireless provider for details.

4.5 Opt-Out Instructions

Users can stop receiving SMS anytime by replying STOP or texting STOP, UNSUBSCRIBE, CANCEL, END, or QUIT. A confirmation message will follow, and no further messages will be sent unless the user re-subscribes. Non-marketing messages related to active services may continue as permitted by law.

4.6 Help and Customer Support

4.7 Carrier Liability Disclaimer

LINX Consulting LLC and all mobile carriers are not liable for delayed or undelivered messages. Message delivery depends on carrier transmission and device capability.

5. User Responsibilities

Users agree to:

  • Provide accurate, complete, current information
  • Update contact information promptly
  • Use services for lawful purposes
  • Obtain required permissions for provided data
  • Cooperate timely and provide access to needed personnel and systems
  • Maintain credential confidentiality and report security incidents
  • Not interfere with website security or services
  • Not copy, reverse engineer, resell, or create derivative works from proprietary materials

6. Intellectual Property

All website content is LINX property or licensed content protected by intellectual property laws. Users cannot reproduce, distribute, or create derivative works without express written permission.

7. Limitation of Liability

7.1 No Indirect Damages

LINX shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data arising from services or these Terms.

7.2 Cap on Direct Damages

LINX's total cumulative liability for any claim shall not exceed total fees actually paid to LINX in the preceding twelve months. If no fees were paid, liability is capped at USD $100.

7.3 Time Limit to Bring Claims

Claims must be brought within one year of the event giving rise to the claim.

7.4 Allocation of Risk

Users acknowledge the fees reflect the risk allocation outlined in these Terms.

7.5 Third-Party Platforms and Services

LINX is not liable for issues caused by third-party platforms, carriers, vendors, tools, or services, including outages, delays, security incidents, or policy changes.

7.6 SMS / Communications Disclaimer

LINX is not responsible for delayed, undelivered, misdirected, or blocked messages due to carrier filtering, network failures, or device settings. Communications are provided for convenience without warranty unless stated in a written Service Agreement.

7.7 Essential Purpose; Jurisdictional Limits

Limitations apply to the maximum extent permitted by law.

8. Indemnification

8.1 Your Indemnity Obligations

Users agree to indemnify and hold harmless LINX and its representatives from claims, damages, and costs (including attorneys' fees) arising from:

  • User access to or use of services
  • Violation of Terms or applicable laws
  • User content, data, systems, or materials
  • Disputes with third parties related to business operations
  • Use of third-party tools configured with LINX
  • Claims that user communications violated consent or privacy laws

8.2 Indemnification Process

LINX will provide prompt written notice of claims. LINX may participate in the defense with counsel of its choosing. Users control defense only if they promptly assume it, use acceptable counsel, and do not settle without LINX's written consent.

8.3 Cooperation

Users agree to provide reasonable cooperation in defending claims.

8.4 Survival

Indemnification obligations survive termination of these Terms and any engagement.

9. Privacy Policy

Services are governed by LINX's Privacy Policy, which explains how information is collected, used, and protected.

10. Modifications to Terms

LINX may modify these Terms anytime. Changes are effective upon posting with an updated date. Continued use constitutes acceptance of modified Terms.

11. Governing Law

These Terms are governed by Nebraska law without regard to conflict of law provisions.
